Founding Seat Offer Conditions
Offered by: Your Evenings Ltd, trading as Is My Agent Safe, a company registered in England and Wales, company number 17185055. Registered office: 66 Paul Street, London EC2A 4NA, United Kingdom ("we", "us").
Contact: hello@ismyagentsafe.com
Effective date: 19 October 2026
These conditions apply to our 20 founding agency seats. They add to our Terms (ismyagentsafe.com/legal/terms) and Refund Policy (ismyagentsafe.com/legal/refund-policy). Where they conflict, these conditions apply to the founding seat.
1. Definitions
- Founding seat: one of the first 20 reservations we confirm by email, numbered 1 to 20 in the order we receive them. Reservations made after all 20 are taken go on a waitlist and aren't founding seats.
- Agency: one business that sets up or looks after OpenClaw agents for clients. One agency means one account, however many people or email addresses it uses. Businesses under common control count as one agency.
- Business only: founding seats are only for businesses acting for the purposes of their trade or profession. By reserving or confirming a seat, you confirm that you're acting for a business.
- Launch notice: an email we send to your reservation address saying that both of these are generally available in production at ismyagentsafe.com:
- the read-only connector, which you can install from our public repository to run scheduled checks on your client installs; and
- the all-clients view, which shows the latest result for every connected client install in one view.
"Generally available" means any founding-seat holder can use the feature without a waitlist, an invitation or manual setup by us.
- Billing start date: the day you confirm your seat by completing checkout after the launch notice. We never start billing without that confirmation. "Billing starts" means the billing start date.
- White-label reports are ready when, on your billing start date, you can produce a monthly report for any connected client install from your account that:
- shows your agency's name and logo and no Is My Agent Safe name or logo, apart from the limits-of-the-check notice; and
- can be downloaded or shared by link.
"White-label lags" means white-label reports aren't ready on your billing start date.
- Paid month: a monthly billing period for which you paid more than $0.
2. Reservations
- Reserving a seat is free and doesn't commit you to anything. We don't ask for payment details to reserve.
- If you don't confirm your seat within 60 days of the launch notice, your reservation lapses, and the seat may be offered to the waitlist. We'll remind you by email at least 7 days before it lapses.
- You can cancel a reservation at any time by emailing us.
3. Free full reports until billing starts
- Who gets them: agencies with a confirmed founding seat whose reservation hasn't been canceled or lapsed.
- What you get: full reports (normally $29 each) for checks you run on client installs that you look after and are authorized to check. We send each report as a private link. We don't promise a delivery time.
- How many: up to 25 full reports in total before billing starts.
- Start: the day we confirm your founding seat by email.
- End: at the earliest of:
- your billing start date;
- the day your reservation is canceled or lapses; and
- 31 March 2027, if we haven't sent a launch notice by then. We'll email you at least 30 days before this date.
- Reports already sent stay available for our normal retention period (90 days from issue).
4. First month free if white-label lags
- Who gets it: founding-seat holders whose billing start date falls while white-label lags.
- What you get: your first monthly billing period, starting on your billing start date, is charged at $0. Your first $99 charge is one month after your billing start date.
- It stays free: if white-label reports become ready during the free month, the month is still free. You get one free month at most.
- Reminder: we'll email you at least 7 days before your first $99 charge, with the amount, the date and how to cancel. If you cancel before that charge, you pay nothing.
- No free month if white-label reports are ready on your billing start date. Billing then starts at $99 that day.
5. Price lock and cancel any time
- $99/month, price locked for your first 12 paid months. A free month doesn't use up the lock.
- It's a price guarantee, not a minimum term. Cancel any time. You won't be charged again, and your seat stays active until the end of the period you've paid for.
- After the lock, your seat moves to the then-current Agency list price. We'll email you at least 30 days before the new price first applies, and you can cancel before then so you never pay it.
- 25 client agents. A seat covers up to 25 client agents. We won't charge for extra agents without your written agreement to a price first.
- Re-joining. If you cancel and come back later, the founding price and lock don't apply again.
6. Refunds
- The 14-day refund on your first payment applies to your first charge of more than $0. If you had a free month, that's the charge one month after your billing start date.
- Free reports and free months have no price, so there's nothing to refund.
- The rest of our Refund Policy applies as written.
7. General
- No cash value. Free reports and free months can't be exchanged for cash or credit, transferred or sold. Unused free reports lapse when the offer ends.
- One per agency. Each agency can hold one founding seat and get each offer once. We may cancel duplicate reservations.
- Fair use. We may refuse or withdraw an offer that's being misused, for example reports run on installs you don't look after. If we do, we'll tell you by email and explain why.
- Notices. We send notices under these conditions by email to the address on your reservation, from hello@ismyagentsafe.com. A notice counts as given on the day we send it. Please tell us if your address changes.
- Changes. After your seat is confirmed, we won't change these conditions to your disadvantage, except where the law requires it.
- Partner commission. A free month isn't a paid month for referral commission.
- Taxes. Prices exclude any sales tax or VAT we're required to add. Any tax is shown before you pay.
8. Data processing for agencies
When you send us data about your clients' systems (for example pasted audit output, versions and configuration), you're the controller and we're your processor. These terms apply in addition to the Terms and the Privacy Policy:
- Instructions. We process that data only to provide the Service to you, as described in the Terms, the Privacy Policy and these conditions, and on your other documented instructions. We'll tell you if we think an instruction breaks data protection law.
- Scope.
- The data: audit output, versions, configuration and results for client installs you submit, which may include hostnames, usernames or other identifiers. Secret-looking values are masked before storage.
- The people concerned: your clients and their staff.
- How long: for the retention periods in our Privacy Policy (results 90 days), then deletion.
- Confidentiality. Everyone we authorize to process the data is bound to keep it confidential.
- Security. We take appropriate technical and organizational measures, including encryption in transit, access controls, secret masking and short retention.
- Sub-processors.
- You authorize the sub-processors listed in our Privacy Policy (§4).
- We'll give you at least 14 days' email notice of any new sub-processor, so you can object. If you object on reasonable grounds and we can't accommodate you, you can cancel and receive a refund of any prepaid period you haven't used.
- We impose the same data protection obligations on each sub-processor, and we remain responsible for them.
- Transfers. We transfer the data outside the UK only with the safeguards described in our Privacy Policy (§5).
- Helping you. Taking into account the nature of the processing, we'll help you, at no extra charge for reasonable requests:
- answer requests from people exercising their rights;
- meet your security, breach-notification and impact-assessment obligations.
- Breaches. We'll tell you without undue delay, and within 48 hours of becoming aware, of a personal data breach affecting your data.
- Deletion. When the Service ends, we'll delete your data (or return it on request, before deletion) within 30 days, unless the law requires us to keep it.
- Audits. We'll make available the information needed to show we comply with this section. We'll allow and contribute to reasonable audits, on at least 30 days' notice, no more than once a year, and at your cost, unless a breach by us is found.
- Your responsibilities. You confirm that you have a lawful basis and your clients' permission to send us their data, and that you've told them about it.
